  1. In return for payment of the fee, Producer grants an non-exclusive licence to the Artist to use the chosen musical work named “ ……………..” (referred to here as “Beat”) to create One (1) new recording (“Track”).
  2. Guarenty: The Artist shall have the right to commercially release the Tracks by any and all means, throughout the world, subject to these terms.
  3. Term: This licence is for a term of indefinite time from the date of this agreement (“Term”).
    Further during the Term the Artist’s usage of the Beat shall be limited to the following limits (“Thresholds”) :
    1. 3.1. Unlimited profit downloads and stream (subject to the provisions of Para 6) or physical sales of the Track. 
    2. 3.2. Unlimited free internet downloads.
    3. 3.3. Unlimited non-profit public performances of the Track.
    4. 3.4. May be played on unlimited terrestrial or satellite radio stations.
    5. 3.5. Creat Two (2) music videos for the Track. Unlimited non-monetized video streams
    6. 3.6. Not broadcasting rights (TV show, advertising, film, movie trailer, cinema, VOD etc.) 
  4. Royalty: The Artist is not required to pay the Producer a royalty or any income from the Track. Consequently, the Artist is prohibited from registring the Beat and/or the Track with any performing rights organisation (“PRO”) worldwide such as BMI, ASCAP, SACEM, PRS, GEMA, SUISA, BUMA etc. in his name or any third-party’s name. The purpose of this restriction is to guarantee that every third-party licensee, including you, can continue to enjoy the use of his/her Track, without having to pay any royalties to any third-party (this is a non-exclusive license). It guarantees that the Beat will remain “royalty-free” for each and every past, present and future licensee. 
  5. The Producer warrants and represents the following :
    1. 5.1. The Artist may publish the Track on listening platforms (streaming) such as Spotify, iTunes, Amazon etc. and benefit from the income that flows from it. The Artist may distribute the Track on his social networks, mentioning that he has obtained the necessary user rights from a third party (Septantyk). The Licensor is the owner of the copyright in the Beat and it’s a non-exclusive royalty free License so, the Licensee will not be able to claim monetization on social networks (those which allow all Licensees to use the Beat).
    2. 5.2. That he has the right to enter into this Agreement and to grant all the rights which he  grant herein.
    3. 5.3. Subject to the provisions of Para 9 below that the Beat does not infringe the rights of any third party.
    4. 5.4. That all necessary consents under law are granted to the Artist.
    5. 5.5. That he does not give up all moral rights.
    6. 5.6. All necessary publishing licenses will be made available to the Artist in respect of the Track free of charge for use by the Artist in connection with free advertising and/or promotion of the Tracks.
    7. 5.7. That the Licensee is authorized to edit the Beat (he/she can change the structure/length, pitch or add silence to the Beat). He/she can add an instrument to the Beat and must also credit the author if necessary.
  6. The Licensee warrants that and represents the following :
    1. 6.1. That he/she has the right to enter this agreement.
    2. 6.2. That he/she will use the Beat to create one new Track and not to sell the Beat.
    3. 6.3. That he/she will not sample any part of the Beat in order to use it in another Track outside this license.
    4. 6.4. That the Track shall not infringe the rights of any third party.
    5. 6.5. When publishing to a digital distribution service (aggregator), that it will not submit the Beat and / or the Track to a social media content identification system such as YouTube Content ID, SoundCloud, Facebook, Instagram, Tyk Tok fingerprint identification system or other similar. When licensing a Beat, your Track can be released on iTunes, Spotify, Amazon, etc. Your distributor will asign a unique ISRC code to your Track which will track all sales and streams for pay outs. When your Track is submitted for distribution, do not opt-in to SoundCloud, Facebook, Instagram, Tyk Tok and YouTube monetization (or other similar services) per the license terms of use.
    6. 6.6. That he/she shall comply with all the obligations and limitations set out in this agreement.
  7. Credit: The Artist agrees to ensure that the Producer is credit on the metadata and packaging or promotion of the Tracks as follows [Produced By Septantyk] or [Prod. By Septantyk].
  8. Breach by Licensee: The Licensee agrees to indemnify the Producer and hold him/her harmless from all claims, losses and expenses including reasonable legal fees arising out of or resulting from a claimed breach of the Licensee’s warranties, representations and obligations in this agreement.
  9. Sample: If the Artist uses a sample from a third party he/she agrees to take steps to obtain all clearances of the sample prior to release the Track. The Artist shall also take steps to clear the publishing sample. The Artist shall indemnify the Producer from all losses and costs arising from any claims from third parties concerning the Artist’s  failure to take the required steps.
  10. Ownership: The Licensee acknowledges that the Producer remains the owner of the Beat copyright (master) on all Tracks created.
  11. Licensee fee: The Licensee acknowledges that the payment for this licence is non refundable. If the Licensee fails to comply with any obligation hereunder the Producer shall have the right on notice to the Licensee to terminate this licence and all rights shall revert to the Producer. Such termination shall render any further exploitation by the Licensee as an actionable infringement of copyright.
  12. Rights: This rights granted to the Licensee are not assignable or otherwise transferable
  13. Agreement: This licence constitutes the entire agreement between the parties  
  14. Competente court: This Agreement shall be construed in accordance with the law of France.
